Terms & Conditions of Sale
Beacon Group International Products Ltd, trading as Leach’s
1. Definitions
(a) The ‘Supplier’ means Leach’s (Beacon Group International Products Ltd), its agents and assigns.
(b) The ‘Purchaser’ means the individual, individuals, firm or company purchasing Goods from or otherwise dealing with the Supplier, whether via immediate online payment or via trade account.
(c) The ‘Goods’ means any and all items supplied by the Supplier to the Purchaser.
2. Application of Terms
(a) All quotations and price lists are given and all orders are accepted on these terms, which override any terms proposed by the Purchaser, including those in purchase orders or communications.
(b) These terms apply to all sales, whether through the Supplier’s website (with immediate payment) or to trade customers (on account). Where no bespoke agreement exists, the default credit terms are 30 days from invoice date.
(c) No modification to these terms shall be valid unless expressly agreed in writing and signed by a director of the Supplier.
3. Representations
The Supplier shall not be liable for any pre-contractual representations or statements unless the Purchaser notifies the Supplier in writing, prior to entering into the contract, that it is relying on such representation.
4. Refusal of Orders
The Supplier reserves the right to accept or decline any order at its discretion and shall not be liable for any loss or damage resulting from refusal.
5. Quantities
(a) Items sold by weight are approximate and actual quantities may vary.
(b) Manufacturer-supplied boxed quantities may not always be accurate. The Supplier is not liable for such discrepancies.
6. The Goods
(a) The Supplier undertakes to repair or replace, at its discretion, any Goods deemed defective in material or workmanship, provided that:
- Notification is received in writing within 3 days of delivery.
- Goods are returned in their original packaging within 14 days.
(b) The Supplier shall not be liable for any consequential or indirect loss.
(c) All implied warranties, including fitness for purpose, are excluded to the maximum extent permitted by law.
(d) The Supplier is not liable for ensuring compliance with legal safety requirements of end use.
(e) Specifications and sizes may change. Where necessary, an equivalent substitute will be supplied.
7. Indemnity and Limitation of Liability
(a) The Purchaser indemnifies the Supplier against any claims or losses arising from:
- Use of the Goods;
- Incorporation of Goods into other products/services.
(b) Except in cases of death or personal injury due to the Supplier’s negligence, the Supplier’s liability shall not exceed the purchase price of the Goods.
(c) The Supplier shall not be liable for any indirect or consequential losses including loss of profit, business or goodwill.
8. Prices and Payment
(a) Prices are subject to change without notice and are set at time of dispatch.
(b) All prices are exclusive of VAT and carriage unless otherwise agreed.
(c) For trade accounts: Payment is due 30 days from invoice date unless otherwise agreed in writing. Interest may be charged on overdue balances at 4% above the Bank of England base rate.
(d) For website sales: Payment must be made in full at the time of order.
(e) The Supplier reserves the right to request advance payment at any time.
9. Severance
If any clause is found unenforceable, the remaining terms shall remain valid.
10. Delivery and Risk
(a) Delivery method is at the Supplier’s discretion unless otherwise agreed. Alternative delivery requests will be charged accordingly.
(b) Delivery times are estimates. No liability is accepted for delays.
(c) Risk passes to the Purchaser upon delivery.
(d) Additional delivery charges may apply for locations outside mainland England and Wales.
11. Retention of Title
Ownership remains with the Supplier until full payment is received. Goods must be stored separately and clearly marked as the Supplier’s property. The Supplier may reclaim unpaid Goods at any time.
12. Consumer Rights (Online and Distance Sales)
Consumers have 14 calendar days from receipt to cancel their order. Cancellations must be in writing. Goods must be returned at the consumer’s expense and risk, unused and in original packaging.
13. Returned Goods (Non-consumer sales)
(a) Goods may be returned for credit or exchange within 14 days, quoting invoice or delivery note number.
(b) Goods must be unused, in original packaging and in resalable condition.
(c) Goods returned in different quantities or without packaging will not be accepted.
(d) A 20% restocking fee may apply.
(e) Special-order items are non-returnable.
14. Force Majeure
The Supplier shall not be liable for any delay or failure caused by events outside its reasonable control.
15. Governing Law
These terms and all contracts are governed by English law and the parties submit to the exclusive jurisdiction of the English courts.
16. International Orders
(a) The Purchaser is responsible for any applicable import duties, taxes, or customs clearance charges.
(b) All international deliveries are made on an Ex Works (EXW) basis unless otherwise agreed.
(c) The Supplier may refuse international orders under certain restrictions.
(d) Returns from outside the UK require prior agreement.
(e) All prices are payable in GBP (£) unless otherwise agreed.
17. Warranties
(a) Manufacturer’s warranties apply where provided.
(b) No extended warranties apply unless agreed in writing.
(c) Exclusions include misuse, alterations, and external damage.
(d) Warranty claims must be submitted in writing within the warranty period.
18. Privacy and Data Protection
(a) Personal data is processed in accordance with UK GDPR and the Data Protection Act 2018.
(b) Data is used for order processing, account management, and marketing (with consent).
(c) Data may be shared with third parties for legitimate business purposes.
(d) Purchasers may request access to, correction of, or deletion of their data.
19. Prohibited Website Use
Users of the Leach’s website may not:
- Use the site for unlawful purposes;
- Violate laws or third-party rights;
- Harass or discriminate against others;
- Submit false information or transmit malware;
- Collect personal data without consent;
- Spam, phish, crawl or scrape;
- Use content without permission.
20. Entire Agreement
These Terms and Conditions constitute the entire agreement between the parties.
